Party B s Obligations 1. Party B shall observe the relevant laws and regulations of Peoples Republic of China, and shall not interfere with the internal affairs of China. 2. Party B shall observe any institutional and administrative stipulations concerning his/her employment, and shall be subject to Party As arrangement, supervision, inspection and review of his/her work performance. Without Party As consent, Party B shall not conduct any part-time job assigned by any other party. 3. Party B shall fulfill the tasks assigned to him/her with high quality and within schedule . 4. Party B shall respect Chinas religious policies, and shall not conduct any religious activities incompatible with his/her status as a foreign expert. 5. Party B shall respect Chinese peoples code of ethics as well as manners and customs. 6. If the foreign experts certificates or visas need to be renewed, Party B shall apply for renewal one month before the due date of the certificates and documents to the International Office. If the application takes place after the designated period, Party B shall bear all the consequences resulting from it. f!. Revision, Rescission and Termination of the Letter of intent Both parties shall abide by the letter of intent and shall refrain from revising, canceling, or terminating the letter of intent without mutual consent. 1. Revision of the letter of intent This letter of intent can be revised upon mutual consent provided that a supplementary letter of intent is signed. Before both parties have reached an agreement, the letter of intent shall be strictly observed. 2. Rescission of the letter of intent 1 This letter of intent can be canceled with mutual consent. 2 In case the letter of intent can not be performed due to force majeure, laws, regulations and policies of the People s Republic of China, the letter of intent shall be canceled. Responsibilities of Party B Party A (the College of ) and Party B shall work together to formulate the objectives and tasks of Party B during the period of employment, which include: 1. International Exchange and Cooperation Party B shall actively promote international exchange and cooperation between international institutions of higher learning and Ocean University of China. 3. Party B shall undertake other tasks assigned by the College of , including but not limited to designing syllabus, improving the contents of courses, hosting foreign language corners, serving as judges in foreign language competitions such as debates and speech contests, undertaking other extracurricular teaching activities, regularly organizing special lectures on language learning and language and culture, participating in teaching seminars organized by relevant departments, etc., to promote teaching quality. 4. Foreign teachers are obliged to accept the teaching observation and inspection organized by the university and the college. Foreign teachers who have any questions about teaching should contact the foreign teachers liaison or other teachers in the same department in time to solve the problem together. 5. Foreign teachers should be familiar with and adapt to China's national conditions in their work as mentioned above, and proactively cooperate with the university, the colleges and foreign teachers liaison to carry out their work. X. Salaries and Benefits of Party B 1.In line with the system of negotiated wages, Party A shall pay Party B a monthly remuneration of RMB , including a salary of RMB , a house rental subsidy of RMB , and travel expenses of RMB . 2. Party B may rent an apartment at the foreign expert buildings on OUC campuses, or rent off campus. Party B shall pay all the costs incurred in the apartment. 3. If Party B rents an apartment at a foreign expert building on OUC campuses, he/she shall pay the rental cost and should observe the following regulations: Party B rents the apartment located at (Room) (Unit) (Building) (Campus) from Party A. The monthly rental cost is RMB and shall be automatically deducted from Party Bs rental subsidy for that month, and Party B shall pay the supplemental payment for any difference in price. 4. Party A shall go through relevant documentation procedures required for Party B to work in China, including invitations, work permits and resident certifications. Party A shall pay Party B RMB 800(before tax) every year as subsidy for handling the procedures and RMB 600(before tax) every year as subsidy for physical examination. These subsidies will be divided into monthly payments and paid to Party B's salary card during the employment period. 5. Party A shall pay Party B RMB 1680(before tax) as subsidy for medical insurance, which will be divided into monthly payments and paid to Party B's salary card during the employment period. 6. Party A shall pay Party B RMB (before tax) as subsidy for an economy-class return flight and RMB (before tax) as subsidy for baggage fee. These subsides will be divided into monthly payments and paid to Party B's salary card during the employment period. If Party Bs performance does not pass the assessment, or if Party B breaks the contract during the employment period or terminate the contract in advance without an appropriate reason, Party A has the right to withdraw the subsidies. 7. Party A shall provide Party B RMB as subsidies for heating expenses on an annual basis, which is normally paid in December in the form of a one-off payment. If Party B rents the apartment for foreign experts at Ocean University of China, the rent shall be deducted by Party A and Party B shall pay the supplemental payment or keep the surplus amount for any difference in price. 8. Party A shall be responsible for the arrangements of the transportation between Qingdao airport and the apartments for foreign experts on both the start date and expiry date of the letter of intent. XI. Party As Obligations 1. The College of under Party A shall invite and hire foreign experts under the Regulations for inviting and Hiring Foreign Experts in Ocean University of China. 2. The College of under Party A shall arrange offices for Party B and support Party B in forming teaching and researching teams. 3. The College of under Party A shall give support to Party B concerning its work, assisting Party B in going through relevant procedures for working in China and helping to solve specific problems encountered by Party B both during work and life in a timely manner. 4.The College of under Party A shall carry out the security management work in line with the  Regulations of Security Management of Foreign Experts at Ocean University of China  Emergency Response Plan for Foreign Experts at Ocean University of China , and Confidentiality Acts for Foreign-related Work at Ocean University of China. XII. Assessment 1. Annual Assessment Each year, The College of under Party A shall assess Party Bs work performance and fulfillment of the letter of intent according to the assessment criteria and procedures, and submit the assessment results to the Personnel Office and the International Office of Party A to keep on file. If necessary, the College can organize interim assessment, and assess immediately after the first semester. The two parties will continue the letter of intent on the grounds that Party B has passed the annual assessment. In case Party B fails the assessment, the College shall make relevant comments in a report to the Personnel Office of Party A for further deliberation. 2. In execution of this letter of intent, any party contravening the provisions stipulated in this letter of intent which leads to pecuniary loss to the other party shall bear the liability for compensation. Exemption In case of failure to fulfill the letter of intent due to force majeure laws and regulations of China, or government action, the letter of intent shall be automatically rescinded and both parties shall not bear responsibilities.
